1. Definitions
"Aidoo" means the SaaS platform published by PLANOR enabling the connection between artificial intelligence (AI) assistants and the Odoo ERP management software via the MCP (Model Context Protocol). "User" means any natural or legal person who has subscribed to Aidoo and uses the service. "AI Provider" means any third-party AI provider (in particular Anthropic, OpenAI, Google, Mistral or any other provider) whose models are used by the User through Aidoo. "Odoo" means the User's ERP instance to which Aidoo connects.
2. Nature of the service
Aidoo is a technical gateway. The service exclusively provides the connection and communication tools between an AI assistant chosen by the User and their Odoo instance. PLANOR does not provide an artificial intelligence service, does not develop AI models, and does not control the responses, decisions or actions produced by third-party AI models. Aidoo forwards the AI's instructions to Odoo and Odoo's data to the AI, without altering, interpreting or validating the content exchanged.
3. Acceptance of terms
Use of the Aidoo service implies the full and unreserved acceptance of these terms of use (ToU). By creating an account or using the service, the User acknowledges having read all of these ToU and accepts them without reservation. PLANOR reserves the right to amend these ToU at any time. The User will be notified of any changes by email or in-app notification. Continued use of the service after notification constitutes acceptance of the new terms.
4. Risks related to artificial intelligence
The User expressly acknowledges and accepts that: (a) AI models may produce inaccurate, incomplete, inappropriate or erroneous results ("hallucinations"); (b) the AI may misinterpret the User's instructions and execute unwanted actions on the Odoo instance; (c) actions performed by the AI on Odoo (creating, modifying or deleting data, validating documents, sending messages, etc.) may have irreversible consequences on the User's data and business processes; (d) the quality and reliability of results depend on third-party AI models over which PLANOR exercises no control; (e) AI providers may modify, degrade or discontinue their services without notice.
5. Human oversight obligation
The User undertakes to maintain permanent and effective human oversight over all actions initiated by the AI through Aidoo. It is the User's exclusive responsibility to: review and approve each action proposed by the AI before its execution on Odoo; configure access permissions appropriately via the Aidoo dashboard; set up regular backups of their Odoo data; train staff in the responsible use of the service; and immediately stop using the service in the event of abnormal AI behavior. Use of Aidoo in autonomous mode (without human oversight) is at the User's exclusive risk.
6. Disclaimer of warranty
The Aidoo service is provided "as is" and "as available." PLANOR makes no warranty whatsoever as to: the accuracy, relevance or reliability of results produced by third-party AI models; the absence of errors in the interpretation or execution of instructions by the AI; ongoing compatibility with all Odoo versions and configurations; the uninterrupted availability of the service or of third-party AI services. No information or advice provided by PLANOR, whether orally or in writing, will create any warranty not expressly set out in these ToU.
7. Limitation of liability
To the extent permitted by law, PLANOR disclaims any liability for: direct or indirect damages resulting from actions executed by the AI on the User's Odoo instance, including but not limited to data loss, database corruption, accounting errors, erroneous orders or invoices, the sending of unwanted communications; financial, commercial or operating losses arising from use of the service; damages resulting from an interruption, malfunction or modification of third-party AI services; damages caused by use of the service without adequate human oversight or in violation of these ToU. In any event, PLANOR's total liability under these ToU shall not exceed the total amount actually paid by the User during the twelve (12) months preceding the triggering event.
8. Indemnification
The User undertakes to indemnify and hold harmless PLANOR, its officers, employees and partners against any claim, action, loss, damage, cost or expense (including reasonable legal fees) arising from or related to: the User's or its staff's use of the service; the breach of these ToU; actions performed by the AI on the User's Odoo instance; any third-party claim related to data processed through the service.
9. Data and confidentiality
The User's Odoo data passes through Aidoo's servers to be forwarded to third-party AI providers. The User acknowledges and accepts that: their Odoo data is transmitted to the selected third-party AI providers for the processing of requests; PLANOR does not store the User's Odoo data beyond the time required to process each request; the privacy and data-handling policies of the third-party AI providers apply to the data transmitted and fall under the responsibility of those providers; it is the User's responsibility to ensure that use of the service complies with their own data protection obligations (GDPR, sector regulations, etc.).
10. Availability and maintenance
PLANOR strives to ensure 24/7 availability of the service, without however being able to guarantee it. The service may be temporarily interrupted for maintenance, updates or in the event of force majeure. PLANOR is not responsible for interruptions due to third-party AI providers or to malfunctions of the User's Odoo instance.
11. Acceptable use
The User undertakes to use the service in compliance with the law and these ToU. It is forbidden to use Aidoo to: attempt to bypass the service's limitations or protections; automate bulk actions without human oversight; process data in violation of applicable regulations; harm the operation of the service or of connected third-party services.
12. Force majeure
PLANOR cannot be held liable for the non-performance of its obligations in the event of force majeure as defined in article 1218 of the French Civil Code, including in particular: natural disasters, pandemics, governmental acts, generalized network or power outages, cyberattacks, failure of third-party AI providers, regulatory changes that make performance impossible.
13. Governing law and jurisdiction
These ToU are governed by French law. In the event of a dispute regarding the interpretation or performance of these terms, the parties undertake to seek an amicable resolution. Failing agreement within thirty (30) days, the dispute will be submitted to the exclusive jurisdiction of the courts within the jurisdiction of PLANOR's registered office, namely the Commercial Court of Meaux.
14. Entry into force
These terms of use entered into force on April 15, 2025 and apply to any use of the Aidoo service from that date onward.
